Welcome to the Terms of Service (these "Terms") for the website, sohri.ai (the "Website"), operated by Humelo Inc. ("Company", "we", "us", or "our"). The Website and any content, tools, features, and functionality offered on or through our Website are collectively referred to as the "Services".

Please read these Terms carefully, as they include important information about your legal rights, remedies, and obligations.

SECTION 13 CONTAINS AN ARBITRATION CLAUSE AND CLASS ACTION WAIVER. BY AGREEING TO THESE TERMS, YOU AGREE (A) TO RESOLVE ALL DISPUTES (WITH LIMITED EXCEPTION) RELATED TO THE COMPANY'S SERVICES THROUGH BINDING INDIVIDUAL ARBITRATION, WHICH MEANS THAT YOU WAIVE ANY RIGHT TO HAVE THOSE DISPUTES DECIDED BY A JUDGE OR JURY, AND (B) TO WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS. YOU HAVE THE RIGHT TO OPT OUT OF THE ARBITRATION CLAUSE AND CLASS ACTION WAIVER AS EXPLAINED IN SECTION 13.

1.1 Advanced AI Technology

  • Convert your text input into natural, expressive voice outputs using cutting-edge text-to-speech synthesis.
  • Our Services utilize various open-source and proprietary technologies.

1.2 Intuitive Editing Tools

  • Precisely control various aspects of the generated voice, including tone, speed, and emotional expression.

1.3 Project Management

  • Efficiently organize and manage your audio works.

1.4 Versatile Export Capabilities

  • Download your generated audio in various formats for seamless integration with other platforms and projects.

1.5 Support Feature (Creator Donations)

  • Optionally, users ("Supporters") may financially support content creators ("Creators") through a voluntary donation feature facilitated by the platform.

2. Account and Eligibility

2.1 Account Requirements

  • Minimum Age: To use our Service, you must be at least 13 years old. We are actively implementing age verification measures to prevent access by minors.
  • Social Login: Account creation requires authentication through supported social login options (e.g., Google, Meta, Discord).
  • Accurate Information: All account information must be accurate and kept up to date. Providing false information may result in service restrictions or account termination.

2.2 Account Responsibilities

  • Account Security: You are responsible for maintaining the confidentiality of your login credentials.
  • No Account Sharing: You must not share your account access with others.
  • Unauthorized Access Reporting: Immediately notify us at [email protected] if you suspect any unauthorized access.
  • User Responsibility: You are responsible for all activities that occur under your account.

3. Usage Limits and Fair Use

3.1 Resource Allocation

To ensure stable service operation and fair resource distribution among all users, the following limitations apply:

  • Text Input Limitation: Users may input up to 5,000 characters per generation request.
  • Audio Length Restriction: Each work can generate audio up to 10 minutes in length.
  • Storage Capacity: Users can store audio works for as long as their account remains active.
  • Storage Management: When the maximum storage limit is reached, users must delete existing works to generate new ones.

3.2 Fair Use Policy

To maintain service quality and ensure equal access for all users:

  • Request Rate Management: The system may limit consecutive requests to maintain service stability.
  • Automated Access Prevention: The use of bots or automated scripts to access the Service is strictly prohibited.
  • System Abuse Monitoring: We actively monitor and prevent any attempts to abuse or exploit the Service.

4. Content and Rights

4.1 User Content

  • Content Ownership: You retain full ownership of all text content you provide to our platform.
  • Processing License: By uploading text content, you grant Sohri a limited license to process your text solely for the purpose of voice generation.
  • Content Responsibility: You are responsible for ensuring that your content complies with all applicable laws and regulations.

4.2 Generated Content

  • Ownership of Generated Audio: You own the audio content generated from your text inputs.
  • AI Model Rights: While you own the generated audio, the underlying AI models and generation technology remain the exclusive property of Sohri.
  • Usage Rights: You may use generated audio for personal or commercial purposes, provided that such use complies with these Terms and applicable laws.

4.3 Prohibited Content

To maintain a safe and legal environment, the following content is strictly prohibited:

  • Hate speech
  • Harmful content
  • Impersonation
  • Intellectual property violations
  • Explicit adult content
  • Malicious content
  • False or misleading information
  • Content promoting illegal activities
  • Content violating others' privacy

5. AI Voice Generation

5.1 Voice Rights and Responsibilities

  • Voice Cloning Restrictions: Generating voices that mimic specific individuals without explicit, documented permission is prohibited.
  • Public Figure Protection: Generating voices imitating public figures, celebrities, or government officials is strictly prohibited.
  • Truthful Representation: You must not use generated voices to mislead listeners about the source or nature of the content.

5.2 Usage Guidelines

  • AI Disclosure: You must clearly indicate when content includes AI-generated voices, especially if the artificial nature is not obvious.
  • Legal Compliance: You must comply with all applicable laws and regulations regarding AI-generated content.
  • Political Content: Using our Service for political campaigns, advertisements, or propaganda requires explicit written approval from us and must comply with relevant election laws.

6. Intellectual Property

6.1 Our Intellectual Property

Sohri retains exclusive rights to:

  • Service Technology: All software, algorithms, and technical components.
  • AI Models: The machine learning models and associated technologies used for voice generation.
  • Brand Assets: Our name, logo, design elements, and other distinctive brand features.

6.2 User License Terms

  • Scope: We grant you a non-exclusive, non-transferable right to use the platform for its intended purposes.
  • Restrictions: You may not reverse engineer, decompile, or extract any part of our technology.
  • Distribution Limitations: Sharing, reselling, or redistributing access to our Service is strictly prohibited.

6.3 Open Source Software

Our Services utilize open-source software. Use of these components is subject to their respective licenses.

  • Apache 2.0 License Compliance: We comply with all requirements:
    • Preservation of copyright/license notices
    • Indication of any modifications to the original files
    • Retention of required notices in source form

7. Privacy and Data

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information, including data related to the Support feature.

7.1 Legal Basis for Data Processing

We process your personal data under one or more of the following:

  • Consent: You have provided clear consent.
  • Contract Performance: Necessary for providing the Services you requested.
  • Legitimate Interests: For improving Services, ensuring security, etc.
  • Legal Obligations: When legally required to process your data.

7.2 Data Retention and Deletion

  • Retention Period: We keep personal data only as long as needed to provide the Services, comply with laws, resolve disputes, and enforce agreements.
  • Deletion Requests: You may request deletion of your personal data by contacting us. We may retain certain data as required by law or legitimate interests.
  • Account Termination: Upon account termination, we delete your personal data except for data we're legally required to retain.

8. Support Feature

This section outlines the terms specific to the voluntary financial support feature.

8.1 Feature Overview

  • The Support feature allows registered users (Supporters) to make voluntary monetary contributions to Creators on the Sohri platform as a way to show appreciation for their work.
  • This feature is intended for voluntary donations and does not create a direct contractual relationship between the Supporter and the Creator regarding the content itself.

8.2 Eligibility and Setup

  • Supporters: Must meet the general account eligibility requirements (Section 2.1) and use a valid payment method accepted by our third-party payment processor.
  • Creators: To receive support, Creators must link a valid payout account (e.g., PayPal) as designated by Sohri and comply with any verification requirements. Creators are responsible for maintaining the accuracy and validity of their payout information.

8.3 Payment Processing

  • Third-Party Processor: All support payments are processed through PayPal Complete Payments (PPCP), our designated payment processor. By using the Support feature, you agree to the terms and privacy policy of the payment processor.
  • Payment Information: Sohri does not directly store your full credit card details or bank account information. This is handled by the payment processor.
  • Fees: Your donation may be subject to transaction fees charged by the payment processor. Any applicable platform fees charged by Sohri on donations will be clearly disclosed before you complete the transaction (Note: Currently, Sohri does not charge a platform fee on donations, but reserves the right to introduce fees in the future with prior notice). If platform fees are introduced, we will provide at least 14 days' notice via email and in-service announcements before they take effect. Users who do not agree may discontinue using the Support feature.

8.4 Payouts to Creators

  • Donations (minus applicable processor fees and any disclosed platform fees) will be transferred to the Creator's linked payout account according to the schedule and terms of the payment processor.
  • Sohri acts as a facilitator and is not responsible for delays or issues in payouts caused by the payment processor or inaccurate Creator payout information.

8.5 Responsibilities

  • Supporters: You acknowledge that donations are voluntary and generally non-refundable (see Section 8.6). You agree not to use the Support feature for fraudulent or illegal purposes.
  • Creators: You are solely responsible for fulfilling any tax obligations arising from the donations received in accordance with the laws of your jurisdiction. You agree to provide accurate payout information and comply with all applicable laws. Tax Documentation: Sohri provides an annual 'Support Earnings Statement' (PDF) within 45 days after each fiscal year-end, downloadable under Account > Support Earnings.
  • Sohri: We facilitate the transaction but are not a party to the donation agreement between the Supporter and Creator. We are not responsible for the Creator's use of funds or any tax implications. Our liability is limited as outlined in Section 12 (Limitation of Liability).

8.6 Refund Policy

  • General Rule: Donations made through the Support feature are voluntary and are not refundable except in specific circumstances.
  • Exceptions: Refunds may be considered only in cases of documented platform technical error resulting in an incorrect charge, or unauthorized transaction confirmed by the payment processor. Requests for refunds due to dissatisfaction with content or other reasons will not be granted.
  • Requesting a Refund Review: To request a review for a potential refund under the exceptions, contact [email protected] with transaction details within 7 days of the transaction. Sohri reserves the right to make the final decision on all refund requests.
  • Evidence Requirement: For suspected unauthorized or erroneous charges, the Supporter must submit the PayPal dispute/chargeback reference number and any supporting screenshots. Sohri will relay this evidence to PayPal for final determination.

8.7 Prohibited Use

  • The Support feature may not be used for any illegal activities, including but not limited to money laundering, fraud, financing terrorism, or violating sanctions.
  • Use of the feature to exchange funds for prohibited content or services is strictly forbidden.
  • Violation of these terms may result in immediate suspension or termination of your account and potential reporting to authorities.

9. Service Level and Support

9.1 Service Availability

  • Platform Uptime: We strive for maximum uptime but cannot guarantee uninterrupted access.
  • Maintenance Windows: We may schedule maintenance and will provide advance notice where possible.
  • Service Interruptions: We are not liable for interruptions, delays, or performance issues.

9.2 Technical Support

  • Email Assistance: For technical issues or inquiries, reach us at [email protected].
  • Response Time: We aim to respond within one business day.
  • Support Scope: Covers Service functionality, account issues, and general usage; custom development may need separate agreements.

10. Termination

10.1 Account Termination

  • Voluntary Termination by User: You may initiate the deletion of your account at any time through the "Manage Account" section within your user settings on the platform.
  • Effect of Termination: Upon initiating deletion, your access to the Service will cease immediately. The deletion of your content and personal data associated with your account will proceed according to the timelines and procedures outlined in our Privacy Policy (Section: Data Retention and Deletion), specifically noting that while access stops immediately, full data purging follows the defined process.

10.2 Service-Initiated Termination

We reserve the right to terminate accounts in certain circumstances:

  • Terms Violations: Immediate termination for serious violations of these Terms.
  • Extended Inactivity: Accounts inactive for extended periods may be suspended or terminated.
  • Illegal Activity: Immediate termination if illegal activity or service abuse is detected or suspected.

11. Changes and Updates

11.1 Modification of Terms

  • Material Changes: We provide at least 30 days' notice before material changes take effect.
  • Notification Method: Notice via email and a prominent posting on our platform.
  • Acknowledgment: You must acknowledge new Terms before continuing to use the Service.

11.2 Change Documentation

  • Previous Versions: Archived and accessible upon request.
  • Summary of Changes: Provided with each update.

11.3 Continued Use

  • Acceptance: Using the Service after changes take effect means you accept the revised Terms.
  • Opt-Out: If you disagree, terminate your account before the effective date.

12. Limitation of Liability

12.1 Disclaimer of Warranties

The Service is offered "as is" and "as available." Sohri disclaims all warranties, express or implied, including but not limited to:

  • Merchantability and fitness for a particular purpose
  • Reliability or availability of the Service
  • Accuracy of generated content
  • Uninterrupted or error-free operation
  • Accuracy or reliability of generated content or the Support feature

12.2 Limitation of Liability

  • No Indirect Damages: We are not liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the Service, including the Support feature or issues related to third-party payment processors.
  • Liability Cap: Our total liability is limited to the maximum extent permitted by law.
  • Jurisdictional Limitations: Some jurisdictions may not allow certain liability exclusions or limitations.

13. Force Majeure

We are not liable for failures or delays due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters or extreme weather
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Network or system failures
  • Pandemics or public health emergencies
  • Failures of third-party services, including payment processors

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by and construed under the laws of the Republic of Korea, without regard to conflict-of-law principles.

14.2 Arbitration Agreement

All disputes arising from these Terms, including those related to the Support feature (except where disputes are mandated to be resolved directly with the payment processor under their terms), shall be resolved by binding arbitration administered by:

  • Arbitration Provider: Korean Commercial Arbitration Board (KCAB)
  • Rules: KCAB's International Arbitration Rules
  • Location: Seoul, Republic of Korea
  • Language: English or Korean, as mutually agreed
  • Arbitration Costs:
    • Claims Under $10,000: Sohri bears filing and arbitrator fees.
    • Claims Over $10,000: Fees are governed by KCAB Rules.
    • Attorney's Fees: Each party is responsible for its own, unless awarded to the prevailing party by the arbitrator.

Support-related disputes must first be submitted to Sohri ([email protected]) for a 14-day informal resolution period. If unresolved, the matter may proceed to KCAB arbitration. Chargeback disputes follow PayPal policy and may bypass this step.

14.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to:

  • Participate in a class action
  • Join class arbitration
  • Act as a private attorney general

14.4 Opt-Out Right

You may opt out of this arbitration agreement within 30 days of accepting these Terms by emailing [email protected] with "Arbitration Opt-Out" in the subject line, including your name and account information. Opting out does not affect the rest of these Terms.

14.5 Exceptions

The following exceptions apply to arbitration:

  • Small claims court cases
  • Intellectual property disputes
  • Emergency injunctive relief

14.6 International Users

If you access our Services from outside Korea, you acknowledge that your personal data may be transferred to and processed in Korea and other countries as described in our Privacy Policy. Laws in your country may differ, and your data may not have the same protections as under your local laws.

  • Encryption of data in transit and storage
  • Access controls and authentication mechanisms
  • Regular security audits and vulnerability testing

16.3 Children's Privacy Protection
